Terms of Service

1. Acceptance of Terms

These Terms of Service ("Terms") govern your access to and use of the CarbonEx platform, operated by Whereteam Co., Ltd. ("Company", "we", "us"). By registering an account or using any CarbonEx service, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.

If you are using CarbonEx on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. Eligibility

To use CarbonEx you must:

• Be at least 20 years of age (or the legal age in your jurisdiction)
• Have the legal capacity to enter into binding contracts
• Not be prohibited by applicable law from participating in carbon markets
• Complete KYC verification before trading or withdrawing funds

3. Account Registration and Security

You are responsible for:

• Providing accurate, current, and complete registration information
• Maintaining the confidentiality of your password and API keys
• All activity conducted under your account
• Immediately notifying us of unauthorized account access at support@carboncreditthailand.com

We reserve the right to suspend accounts showing signs of unauthorized access, fraudulent activity, or policy violations.

4. Carbon Credit Trading

When trading on CarbonEx:

• All buy and sell orders are binding once matched in the order book
• Trades are executed on a best-price, first-in-first-out basis
• A platform fee is charged per completed trade (see current fee schedule in your account settings)
• Carbon credits are measured in tCO₂e (tonnes of CO₂ equivalent)
• Retired credits cannot be un-retired — retirement is permanent and irreversible
• Forward contracts and RFQ agreements are legally binding upon acceptance

5. Project Submission

Project developers submitting carbon projects to CarbonEx warrant that all submitted information is accurate and that the project meets the applicable verification standard (Gold Standard, VCS, Blue Carbon, or T-VER). CarbonEx reserves the right to reject, request revision of, or remove any project that does not meet platform standards or applicable regulatory requirements.

Issuance of carbon credits following project approval does not constitute endorsement of the underlying project beyond the verification process.

6. Wallet and Payments

• Funds deposited to your CarbonEx wallet are held for the purpose of trading carbon credits
• Withdrawals are processed within 1–3 business days
• Payments are processed via Omise and 2C2P; their terms also apply
• CarbonEx is not a bank and wallet balances are not insured by the FIDF or any government scheme
• We reserve the right to freeze funds if required by law or if fraud is suspected

7. API Access

Developer API keys grant programmatic access to your account. You are solely responsible for securing your API keys. Automated trading strategies must comply with our fair-use policy. We reserve the right to rate-limit or revoke API access for abuse.

8. Prohibited Activities

You may not use CarbonEx to:

• Engage in market manipulation, wash trading, or spoofing
• Submit fraudulent project data or falsified KYC documents
• Launder money or finance illegal activities
• Circumvent rate limits or attempt unauthorized system access
• Violate any applicable Thai or international law
• Resell or sublicense access to the platform without written consent

9. Disclaimers and Limitation of Liability

Carbon credit prices are volatile and past performance does not indicate future results. CarbonEx does not provide investment advice. Trading carbon credits involves financial risk and you may lose value.

To the maximum extent permitted by Thai law, CarbonEx's total liability for any claim arising from your use of the platform shall not exceed the fees paid by you in the 3 months preceding the claim. We are not liable for indirect, incidental, or consequential damages.

10. Termination

You may close your account at any time by contacting support. We may terminate or suspend your access immediately if you breach these Terms, without liability. Upon termination, any outstanding trades will be settled and remaining wallet balance returned (subject to applicable holds and fees).

11. Governing Law and Dispute Resolution

These Terms are governed by the laws of Thailand. Any disputes shall first be attempted to be resolved through negotiation. If unresolved within 30 days, disputes shall be submitted to the competent courts in Bangkok, Thailand.

12. Changes to Terms

We may update these Terms from time to time. We will notify registered users via email at least 14 days before material changes take effect. Continued use of CarbonEx after the effective date constitutes acceptance of the updated Terms.
